1. Products & pricing
We offer the digital products and services described on our Products & services (INR) page. If there is any conflict between a marketing description and these terms, these terms prevail unless mandatory law says otherwise.
2. The service
ProERP is an online platform that connects members, businesses, and administrators for task-based workflows, wallet balances in INR, and related features we may offer from time to time. We may modify, suspend, or discontinue features with reasonable notice where practicable.
3. Eligibility & accounts
You must be legally able to enter a binding contract in your jurisdiction. You are responsible for accurate registration information and for keeping credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use via our Contact us page.
4. Roles
Access and permissions depend on your role (e.g. member, business, admin). You may not attempt to access areas or data outside your role or circumvent technical or policy controls.
5. Wallet & payments
- Wallet balances and top-ups are denominated in INR unless we state otherwise.
- Payments for top-ups are processed by third-party payment providers (such as Cashfree). Their terms and privacy practices also apply to the payment step.
- You authorize us and our payment partners to charge or facilitate payments you initiate. You must use only payment methods you are authorized to use.

6. Tasks, content & conduct
You must comply with applicable laws and must not use ProERP for fraud, harassment, malware, scraping that overloads the service, or infringement of others’ rights. You are responsible for content you submit; you grant us a license to host, process, and display such content as needed to operate the platform.
7. Intellectual property
ProERP and its licensors own ProERP, branding, and related materials, subject to open-source licenses where applicable. You receive a limited, revocable license to use the service in line with these terms.
8. Disclaimers
The service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.
9. Limitation of liability
To the fullest extent permitted by applicable law, ProERP and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of the service. Our aggregate liability for claims relating to the service is limited to the greater of (a) the amounts you paid us in fees for the service in the three months before the claim or (b) INR 5,000, unless mandatory law requires otherwise.
10. Indemnity
You will defend and indemnify ProERP and its personnel against third-party claims and costs arising from your misuse of the service, your content, or your violation of these terms or law, to the extent permitted by law.
11. Suspension & termination
We may suspend or terminate access for breach of these terms, risk of harm, or legal requirements. You may stop using the service at any time. Provisions that by nature should survive (e.g. liability limits, indemnity) survive termination.
12. Governing law & disputes
These terms are governed by the laws of India, without regard to conflict-of-law rules. Courts at a location we designate (or as required by mandatory consumer law) have exclusive jurisdiction, subject to any non-waivable rights you may have.
